Terms Of Service

By accessing or using Nimlyst services—including our CRM, lead generation tools, marketing automation, virtual assistant placement, and FastTrack™ programs—you agree to the following Terms and Conditions. Please read them carefully, as they define your rights, responsibilities, and limitations when using our services.

1. Acceptance of Terms

By creating an account and using Nimlyst, you confirm that you accept these Terms of Service and agree to comply with them. If you do not agree to these terms, do not use our services.

2. Services Provided

Nimlyst provides an all-in-one marketing and automation platform, including a Customer Relationship Management (CRM) system, lead generation tools (GeoLeads™, LitLeads™), AI-powered bots, ad campaign systems, and virtual assistant placement. This product is digital/service-based and is considered "delivered" upon onboarding.

3. User Accounts

To access certain features, you must create an account and maintain accurate, current information. You are solely responsible for activities under your account and must maintain the confidentiality of your login credentials.

4. Cancellation Policy

To cancel your subscription, written notice must be provided at least 3 days prior to your desired cancellation date. Notices received fewer than 3 days before billing may result in charges for the following period.

5. Additional Usage Fees

Upon CRM activation, you receive a $30 credit. Once used, the following fees apply:

Outgoing Calls: $0.028/min

Incoming Calls: $0.017/min

AI Voice Calls: $0.19/min

SMS Texts: $0.0158/segment

Emails: $0.0034/email

Premium Triggers & Actions: $0.015/action

By using Nimlyst, you agree to these fees. They will be automatically billed based on your platform usage.

6. Nimlyst LitLeads™ Terms

All lead sales are final and non-refundable. We do not guarantee lead accuracy or conversion results. Leads are only delivered via the Nimlyst platform. No external delivery methods are offered. You agree to follow all local, state, and federal communication laws. Leads are not replaced under any circumstances. You are solely responsible for your keyword selections. You agree to hold Nimlyst harmless for any legal issues resulting from your use of leads.

7. Payment Terms

You agree to provide accurate billing information and authorize Nimlyst to charge your selected payment method. All payments are final, including subscriptions, setup fees, and upgrades. Pricing may change at Nimlyst’s discretion. All charges are final. By purchasing, you waive your right to initiate any chargeback or dispute for payments rendered. You agree that all services are deemed delivered upon onboarding call or access to the platform. Nimlyst reserves the right to contest and pursue any fraudulent disputes legally, and customers acknowledge that usage of services voids any claim of non-receipt.

8. Refund Policy

All sales are final. Nimlyst does not offer refunds for any reason, including subscription inactivity or non-use, lack of results or ROI, lead quality concerns, AI feature dissatisfaction, or setup and onboarding services. Trial users must cancel before their trial ends to avoid charges. Once billed, all charges are non-refundable.

9. FastTrack™ Program Commitment

By paying the $97 FastTrack™ reservation fee, you agree that this payment locks in your discounted setup rate and FastTrack onboarding process. This fee confirms your commitment to pay the full One-Time Setup Fee within 30 days. Failure to complete payment results in the outstanding balance. Nimlyst is authorized to pursue collections or legal litigation. Access to setup services is forfeited until the balance is paid. You agree that this is a binding agreement and waive all rights to chargebacks or refunds. The $97 payment is final and non-refundable under any circumstances.

10. No Guarantee of Results

Nimlyst does not guarantee any results or financial performance. Any marketing claims, case studies, or testimonials reflect past outcomes and do not guarantee that you will achieve similar results. Outcomes vary depending on industry, effort, strategy, and external market conditions.

11. Late Payments, Penalty Fees, and Account Suspension

If you fail to pay any outstanding balance, a 10% monthly penalty fee will be added until the balance is cleared. Accounts with unpaid balances for 1 or more days will be suspended, resulting in loss of access to all Nimlyst services. Accounts with unpaid balances beyond 30 days may be forwarded to collections and subject to legal action, including recovery of all outstanding balances, penalties, legal fees, and collection costs. By using Nimlyst, you agree to these terms and waive the right to dispute charges after services are rendered.

12. Termination of Service

Nimlyst may suspend or terminate your access at any time for violation of these terms or misuse of the platform. Termination does not entitle you to a refund.

13. Limitation of Liability

Nimlyst is not liable for any indirect, incidental, or consequential damages related to your use of our platform or services. This includes loss of revenue, profits, data, or business opportunities.

14. Indemnification

You agree to defend, indemnify, and hold Nimlyst and its affiliates harmless from all claims, damages, liabilities, and legal costs resulting from your use of the platform, your marketing practices, or your violation of these Terms of Service.

15. Modifications to Terms

Nimlyst reserves the right to update or modify these Terms at any time. Continued use of the platform after changes implies acceptance.

16. Governing Law

These Terms are governed by and interpreted under the laws of the State of Colorado. Any disputes shall be resolved in the state or federal courts of Colorado.
